Terms of Service for CocoViral

1. Agreement

These Terms of Service ("Terms") govern your use of CocoViral at https://www.cocoviral.ai, its API, command-line tool, and connectors for AI assistants (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy (https://www.cocoviral.ai/privacy-policy). If you use the Service for a company, you agree on its behalf and confirm you have the authority to do so.

2. The Service

CocoViral lets you generate and edit images, videos and audio with AI models, analyze and remix videos, translate and localize videos, and manage the results in your library. Generation runs on models from third-party providers, which we choose and may change, add or remove over time.

Features marked beta or new may change or be withdrawn. We may update the Service, but will not remove a paid feature you rely on without reasonable notice.

3. Accounts

• You must be at least 18 years old to use the Service.
• Give accurate information and keep it up to date. One account is for one person; do not share your login.
• You are responsible for everything done with your account, your API keys, and the apps you connect (such as ChatGPT or Claude). Keep keys secret and revoke any that may be exposed.
• Tell us at [email protected] if you suspect unauthorized use of your account.

4. Subscriptions, credits and payment

• Generations use credits. The credit cost of each action is shown before you run it or on the pricing page.
• Paid plans are subscriptions billed in advance, monthly or yearly, through Stripe, and renew automatically until you cancel.
• You can cancel at any time from your account's billing settings. Cancellation stops the next renewal; your plan stays active until the end of the period you have paid for.
• Credit packs are available to subscribers with an active plan. Each plan's credit allowance, and how unused credits are handled, are described on the pricing page.
• If a generation fails on our side, the credits it used are returned to your balance automatically.
• Free, promotional and referral credits have no cash value, cannot be transferred, and may expire.
• Prices may change. We will notify you before a change applies to your subscription, and it takes effect from your next billing period.
• Prices exclude taxes unless stated; you pay any applicable taxes.

Refunds: all purchases are final and non-refundable, except where the law requires otherwise. Please review the plans and features before subscribing.

5. Your content

You keep all rights to what you put into the Service (prompts, uploads and links: "Inputs") and, as between you and us, own what the Service generates for you ("Outputs"). You may use Outputs for any lawful purpose, including commercially, subject to these Terms.

You give us a worldwide, non-exclusive license to host, process, transmit and display your Inputs and Outputs only as needed to run the Service for you, including sending them to the AI providers that perform your generations. If you publish a project or Output, you also let us show it publicly on the Service until you unpublish it.

Projects are private by default. We do not use your Inputs or Outputs to train our own AI models.

AI generation is not unique: other users may receive similar Outputs, and we cannot guarantee that an Output is free of third-party rights. You are responsible for checking that your use of an Output is lawful, especially when it depicts real people, brands or copyrighted works.

6. Acceptable use

You must have the rights to everything you upload or link, including videos you ask us to analyze, clone or translate. Do not use the Service to create, upload or share:

• Sexual content involving minors, or any content that sexualizes minors.
• Sexual or intimate imagery of a real person without their consent.
• Content that impersonates a real person or organization, or deepfakes meant to deceive, defraud or defame.
• Content that infringes copyright, trademark, privacy or publicity rights.
• Harassment, threats, hate speech, or content promoting violence or self-harm.
• Content that is illegal where you or your audience are, or that violates the policies of the platforms where you publish it.
• Spam, malware, or deceptive political or commercial content.

And do not:

• Try to bypass credit limits, rate limits, content filters or security measures.
• Resell or share access to the Service, or use it to build a competing product, without our written permission.
• Scrape the Service or reverse engineer it, except where the law allows.
• Overload or disrupt the Service or other users.

We may refuse, block or remove content, and suspend accounts, that break these rules. AI providers also apply their own safety filters, which may decline some requests.

7. Copyright complaints

If you believe content on the Service infringes your copyright, send a notice to [email protected] identifying the work, the content and where it appears, your contact details, and a statement that you have a good-faith belief the use is unauthorized and that your notice is accurate. We remove infringing content and close the accounts of repeat infringers.

8. Our property

CocoViral, its software, design, templates, presets and brand belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any of our rights to you. If you send us feedback, we may use it without obligation to you.

9. Third-party services

The Service relies on third-party services, including AI model providers, Stripe for payments, and the AI assistants you connect. Their availability and output are outside our control, and your use of them may also be subject to their terms.

10. Suspension and termination

You can stop using the Service and ask us to delete your account at any time by emailing [email protected].

We may suspend or end your access if you break these Terms, if your account puts the Service or others at risk, or if the law requires it. Where reasonable, we will tell you why first. If we end the Service for reasons other than your breach, we will refund the unused part of any prepaid subscription period.

Sections 4 (amounts owed), 5, 7, 8 and 11 to 13 continue after termination.

11. Disclaimers

The Service is provided "as is" and "as available". AI Outputs can be inaccurate, unexpected or unsuitable, and we do not guarantee that any content will perform well or go viral. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about the Service is limited to the amount you paid us in the 12 months before the claim.

Nothing in these Terms limits liability that cannot be limited by law, or your rights as a consumer under the law where you live.

13. Indemnity

You will defend and indemnify us against third-party claims arising from your Inputs, your use of Outputs, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for significant changes, notify you by email at least 14 days before they take effect. If you keep using the Service after that, the new Terms apply; if you do not agree, cancel your subscription before they take effect.
